Terms of Service

1. Acceptance of Terms

These Terms of Service are a legally binding agreement between you and Axion Dynamics Group Inc., a New York business corporation. These Terms govern access to Axion websites, applications, portals, APIs, dashboards, documentation, beta features, and related online services that link to these Terms.

2. Services

Axion provides software, online tools, dashboards, product information, developer resources, AI-assisted workflows, support resources, and other digital functionality for power and clean-energy infrastructure workflows. Services may be improved, modified, suspended, or discontinued over time.

3. Eligibility and Authority

You must be at least 18 years old and capable of entering into a legally binding agreement. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

4. Accounts and Credentials

You are responsible for accurate account information, credential confidentiality, API keys, authorized users, and activity under your account unless caused by Axion’s breach of these Terms. Notify Axion at [email protected] if you suspect unauthorized access.

5. Limited License

Subject to these Terms and any applicable order, Axion grants a limited, revocable, non-exclusive, non-transferable right to access and use the Services for lawful internal business purposes. Axion reserves all rights not expressly granted.

6. Acceptable Use

You may not violate law, misuse the Services, reverse engineer non-public functionality, scrape or harvest content, bypass security controls, upload malicious code, misrepresent affiliation, infringe rights, or use the Services to develop a competing service through misuse of Axion confidential or proprietary materials.

7. User Content and Data

You retain ownership of content you submit, subject to the rights needed for Axion to provide, secure, maintain, improve, support, and troubleshoot the Services, comply with law, enforce these Terms, and perform obligations under an applicable agreement. Do not submit regulated or highly sensitive information unless Axion expressly agrees in writing.

8. Feedback and Intellectual Property

Axion owns the Services, software, interfaces, workflows, documentation, models, processes, trademarks, logos, and related intellectual property. Feedback you provide may be used by Axion without restriction or compensation unless a separate written agreement says otherwise.

9. Privacy

Axion’s processing of personal information is described in the Axion Privacy Policy. Customers and users are responsible for providing any required notices and consents for data they submit or configure through the Services.

10. Fees, Orders, and Subscriptions

Fees, subscription terms, usage charges, implementation services, support terms, renewal terms, cancellation rights, and refund terms are governed by the applicable order, quote, checkout page, invoice, or written agreement. Fees are non-refundable except as stated in an applicable order or required by law.

11. Subscriptions and Payment Processing

Axion offers recurring subscriptions (e.g., PowerTwin, BessTwin, SolarTwin, WindTwin) processed by Stripe, Inc. By subscribing, you agree to Stripe's payment terms and authorize Axion to charge your selected payment method on a recurring basis until canceled. Subscriptions may be managed or canceled via the Stripe Customer Portal. Axion is not responsible for payment processing errors or declined transactions handled by Stripe.

12. Third-Party Services

The Services may link to or integrate with third-party services. Those third-party services are governed by their own terms and privacy policies. Axion is not responsible for third-party services unless a separate written agreement states otherwise.

13. Engineering and AI-Assisted Outputs

Axion software assists engineering workflows, data organization, QA/QC, and deliverable preparation. Axion does not guarantee permitting, interconnection approval, regulatory approval, sealed design acceptance, energy yield, code compliance, or replacement of licensed professional engineering judgment.

14. Disclaimers

To the maximum extent permitted by law, the Services and Axion content are provided “as is” and “as available.” Axion disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and error-free operation. You are responsible for independently verifying outputs and decisions.

15. Limitation of Liability

To the maximum extent permitted by law, Axion and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages, lost profits, lost data, or business interruption. Axion’s total liability will not exceed the greater of the amount paid to Axion for the Services giving rise to the claim during the twelve months before the event or one hundred U.S. dollars.

16. Indemnification

You will defend, indemnify, and hold harmless Axion and its personnel from claims, losses, liabilities, damages, costs, and expenses arising from your misuse of the Services, User Content, violation of these Terms, violation of law, infringement of rights, integrations, workflows, fraud, willful misconduct, or negligence.

17. Suspension and Termination

Axion may suspend, restrict, or terminate access if Axion reasonably believes that you violated these Terms, created legal or security risk, failed to pay amounts due, infringed rights, or harmed the Services, Axion, users, or third parties. Terms that by nature should survive termination will survive.

18. Export, Sanctions, and Compliance

You may not use, export, re-export, transfer, or make available the Services except in compliance with applicable export-control, sanctions, anti-boycott, privacy, cybersecurity, consumer-protection, professional, and industry requirements.

19. Changes

Axion may update these Terms by posting a revised version with a new Last Updated date or by providing notice through the Services, email, or another reasonable method. Continued use after the effective date constitutes acceptance of updated Terms.

20. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in New York County, New York, except where mandatory law requires otherwise.
